CONTEST TERMS AND CONDITIONS
By selecting "I Agree" and in consideration of Roygbiv evaluating your design (hereinafter the "Design") for its possible use in connection with goods to be sold at mass retailers ("Goods"), you agree to the following terms and conditions:
1.	If your Design is selected by Roygbiv as a winner of a contest, you acknowledge that in consideration for the contest prize set forth below, you hereby assign to Roygbiv Lab LLC and its subsidiaries and affiliates (hereinafter collectively "Roygbiv") the entire right, title, and interest in and to the copyright in your Design including the right to sue for past infringement and the right to further sublicense the Design, for its sole and exclusive use on and in connection with the Goods. You hereby waive any and all "moral" rights, including without limitation attribution and integrity rights with regard to the Design whether arising under the law of any state of the United States, United States federal law, or the law of any other country.
2.	If your Design is selected as a semi-finalist or finalist of a contest, Roygbiv may use your Design in any manner on or in connection with the Goods, including but not limited to: reproducing the Design on the Goods, selling Goods bearing the Design, licensing the Design to others for use in connection with the sale of Goods by others, selling the Design, changing or reworking the Design by making color or size changes, making derivative works of the Design, using the Design on the Roygbiv website and on promotional material for Roygbiv, and registering the Design with the US Copyright Office in the name of Roygbiv Lab LLC as the Claimant, and you as the Author. You agree to provide Roygbiv with any information required in order to register the copyright in the Design if so requested by Roygbiv, at no cost.
3.	Once you submit a Design, the Design becomes the temporary property of Roygbiv until the expiration of the contest period for which your Design was submitted and you may not reproduce, sell, or submit the Design to others for any commercial purpose while the Design is being evaluated by Roygbiv.
4.	If your Design is selected as a contest semi-finalist or finalist, you may not use the Design (or derivatives of the Design) or allow others to use the Design (or derivatives of the Design). If your Design is selected as a contest semi-finalist or finalist, Roygbiv may, in its sole discretion, display your Design on the Website. Once the contest period has ended and, if your Design has not been selected as a contest semi-finalist or finalist, you are free to use the Design for any commercial or non-commercial purpose and Roygbiv may continue to display your Design on the Website. However if your Design is used elsewhere, you must notify Roygbiv by e-mail, so that it can be removed from the Roygbiv website. In addition, if the Design is used or reproduced for commercial purposes elsewhere, you cannot use the Roygbiv website to promote the Design or the company using the Design. You further agree not to use the Roygbiv Website to promote the products and services of any company that operates in competition with Roygbiv.
5.	By submitting a Design, you represent and warrant that the Design is your own original work, that you have the right and authority to convey all rights in and to the Design to Roygbiv, that the Design has not been previously published or used in connection with Goods, that the Design is free and clear of any encumbrances, claims of ownership or liens and is not subject to any third-party agreements or arrangements that would interfere with Roygbiv's use of the Design, and that the Design does not contain any trademarks, logos, copyrighted material, or any other intellectual property, privacy rights or any other rights whatsoever belonging to any third party.
6.	You agree to defend, indemnify and hold harmless Roygbiv, and its affiliates, directors, officers, employees, agents and owners from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) in the event of a breach of any of the foregoing representations and warranties.
7.	All Designs submitted to a contest will be reviewed by Roygbiv to determine the eligibility of the Design for entry into the contest, in the sole discretion of Roygbiv. All accepted Designs will be displayed on the Website and the public will vote for their favorite Designs. The semi-finalist winners will be displayed on the Website and the public will vote for their favorite Designs. The winning Designs will be presented to a major retailer for consideration for use on Goods to be sold at the retailer. Roygbiv makes no representation or guarantee that any of the Designs will be chosen by any retailer for use on Goods. You will only be contacted by Roygbiv in the event your Design is chosen as a semi-finalist and/or finalist. Do not attempt to contact Roygibv to find out the status of your entry and/or contest outcome.
8.	If your Design is selected as a semi-finalist, Roygbiv will contact you, and you will receive $500.00 for your Design. If your Design is selected as a finalist, Roygbiv will contact you, and you will receive an additional $2,000.00 for your Design. Roygbiv reserves the right to change these payment terms at any time, by posting them on the Roygbiv website, and changes will be effective upon posting. Payment will be based on the terms in effect when your Design is selected. You alone will be responsible for the payment of any tax that arises as a result of receiving payment from Roygbiv. Payment will be sent within fifteen days (15) after your Design is selected as a semi-finalist or finalist.
9.	Participants, who in the opinion of Roygbiv, do not comply with these Contest Terms and Conditions, or for any other reason at Roygbiv's sole discretion, can at any time be excluded from consideration without notice.
10.	The decisions of Roygbiv are final and binding.
11.	The contest is void where prohibited by law.
12.	No agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by your submission of a Design into a contest or by its selection as a contest winner.
